Terms of Service
Effective: May 20, 2026
1. Overview
CenterNode ("we," "our," "us") builds and operates custom command systems for service businesses. By using our website, booking a consultation, or purchasing a system build, you agree to these terms.
2. Services
We provide custom operations software development, including but not limited to:
- Custom command system design and build
- Lead capture, routing, and follow-up automation
- Workflow integration with existing tools (n8n, booking systems, CRMs)
- Ongoing maintenance and support under retainer agreements
Each engagement is scoped individually. Deliverables, timelines, and pricing are defined in a separate Statement of Work (SOW) or project proposal.
3. Consultations
Free consultations are provided without obligation. We do not guarantee that every consultation will result in a proposal or engagement.
4. Payment Terms
- Custom builds require a 50% deposit before work begins, with the balance due upon delivery
- Monthly retainer fees are billed in advance on the 1st of each month
- Late payments may incur a 1.5% monthly interest charge
- All prices are in USD unless otherwise stated
5. Intellectual Property
Upon full payment, you receive ownership of the custom system built specifically for you. We retain ownership of:
- Our proprietary frameworks, libraries, and tooling used across client projects
- Pre-existing components and integrations
- The CenterNode brand, name, and trademarks
We may showcase your project in our portfolio unless you request otherwise in writing.
6. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the engagement. This obligation survives termination for 2 years.
7. Warranties & Limitation of Liability
We warrant that our work will be performed in a professional and workmanlike manner. Our total liability for any claim shall not exceed the total fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
8. Termination
Either party may terminate a retainer with 30 days written notice. Custom build projects may be terminated per the terms in the SOW. We will provide a reasonable transition period to hand off deliverables.
9. Third-Party Services
Our systems may integrate with third-party services (hosting providers, APIs, booking platforms). You are responsible for maintaining your own accounts and complying with those services' terms. We are not liable for third-party outages or policy changes.
10. Governing Law
These terms are governed by the laws of the State of Nevada, United States. Any disputes shall be resolved in the courts of Clark County, Nevada.
11. Changes to Terms
We may update these terms from time to time. Continued use of our services after changes constitutes acceptance. Material changes will be communicated via email.
