Terms of Service

These terms cover the centernode.host website and Care Desk, the scheduling and communication service CenterNode provides to home care agencies. "We" means CenterNode, based in Las Vegas, Nevada. "You" or "the agency" means the business that signs up. If your agency signs an order form with us, anything specific in that order form (like pricing) takes priority over these terms.

1. What Care Desk does

Care Desk helps your agency cover caregiver call-offs, track visit check-ins, and send text updates to caregivers and families. It ranks available caregivers using the rules you set (skills, availability, distance, overtime) and texts shift offers on your behalf.

Care Desk is a coordination tool. It does not replace your agency's judgment. Your agency stays responsible for staffing decisions, the care your clients receive, and confirming that every visit is covered. Care Desk is not an emergency service and does not give medical advice. We can't guarantee every open shift will be filled, and Care Desk will tell your coordinator when it can't fill one.

2. Setup

Setup is a one-time fee, due before setup work begins. It covers loading your caregivers, clients and schedule, configuring your rules, writing your text messages with you, and running side by side with your coordinator for about two weeks. Once setup work has started, the setup fee isn't refundable.

3. Plans, billing and texts

• Your monthly plan is based on the number of active caregivers your agency has in Care Desk. If you grow into a bigger plan, we'll tell you before your next bill changes.
• Monthly fees are billed in advance at the start of each billing month.
• Each plan includes a set number of text messages a month. A "text" is any message Care Desk sends. Replies don't count.
• Going over: we never stop sending texts mid-month because you hit your limit. We'll let you know at 80%, and extra texts are billed at $15 per 1,000 on your next bill.
• We may change standard prices with at least 30 days' written notice. Prices in a signed order form stay fixed for the period it states.
• Prices are in US dollars and don't include taxes, if any apply.
• If a payment is more than 15 days late, we'll contact you, and after written notice we may pause the service until it's paid. We'll never delete your data because of a late payment.

4. Term and cancellation

There's a 3-month minimum, starting when Care Desk goes live for your agency. After that, your plan is month to month. You can cancel any time after the minimum with written notice (email is fine), and the service ends at the end of that billing month. We don't refund partial months. We can end the service with 30 days' written notice, or sooner if these terms are seriously broken.

5. Text messages and consent

• You confirm that the caregivers and family members Care Desk texts have agreed to receive texts from your agency about schedules and visits.
• Anyone can reply STOP to stop receiving texts. We honor that right away and tell you who opted out.
• Care Desk sends operational messages only (shifts, check-ins, visit updates), never marketing.
• You approve the wording of your text templates before they're used.
• Delivery depends on phone carriers. We're not responsible for delays or failures on the carrier side.

6. Your agency's data

• You own your data: caregiver, client, schedule and visit information.
• We use it only to run Care Desk for your agency. We don't sell it or use it for anyone else.
• Care Desk is designed so texts carry only first names, times and neighborhoods, never diagnoses, medications or care notes. Please don't enter medical details into Care Desk unless we've agreed in writing on how they'll be handled.
• If your agency needs a Business Associate Agreement (HIPAA), tell us before setup so we can review it together.
• You can ask for an export of your data at any time. After cancellation, we keep it for 30 days so you can export it, then delete it, unless the law requires us to keep something longer.
• We protect your data with reasonable safeguards (HTTPS, limited access, backups). If we learn of a security incident affecting your data, we'll tell you promptly.

7. Support and availability

Our Las Vegas team supports you directly, and we respond the same business day (Monday to Friday). We work to keep Care Desk running at all times but can't promise it will never be down. We'll give notice before planned maintenance when we can, and your coordinator should keep a backup way to reach caregivers.

8. Acceptable use

Use Care Desk only for your agency's own scheduling and communication. Don't use it to send spam, harass anyone, text people who haven't agreed to it, or break the law. Keep your logins private and tell us right away if you think someone else has access.

9. Ownership

CenterNode owns the Care Desk software, its design and the CenterNode name. You get the right to use Care Desk while your plan is active. You own your data and the content of your text templates. If you share ideas for improving Care Desk, we may use them without owing you anything.

10. Limits of liability

We provide Care Desk "as is," with care and in good faith, but without guarantees beyond what's written in these terms. To the extent the law allows, we're not liable for indirect or consequential losses, including missed visits, lost clients or lost profits, and our total liability for any claim is limited to the fees you paid us in the 12 months before the claim. You agree to cover claims that come from your agency's use of Care Desk, including texting people without their consent.

11. The website and free calls

The information on centernode.host and in our demo is for general information. The demo uses a fictional agency and people. Free calls carry no obligation on either side.

12. Changes

We may update these terms. If a change matters to active agencies, we'll email you at least 30 days before it takes effect.

13. Governing law

These terms are governed by the laws of the State of Nevada. Any dispute will be handled in the courts of Clark County, Nevada.
